TERMS OF SERVICE & MEMBERSHIP AGREEMENT
OVERVIEW This website is operated by Palm Beach Watch Club. Throughout the site, the terms “we”, “us”, “our” and “the Club” refer to Palm Beach Watch Club (PBWC). PBWC offers this website, including all information, tools and Services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. Governing law and dispute resolution shall be governed by the laws of the state of Florida and all Florida law applies to this agreement.
By visiting our site and/or purchasing something from us and/or participating in PBWC to any capacity, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content and those participating in club activities.
Please read these Terms of Service carefully before accessing or using our website or engaging in club activities. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any Services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.
Any new features or tools which are added to the current store shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
SECTION 1 - ONLINE STORE, MEMBERSHIP & ACCESS TERMS By agreeing to these Terms of Service, you represent that you are at least 18 years of age, or that you are the parent/legal guardian of a Junior Member and have given your consent for them to access our Services. Junior Members must use the Website, member portals, and all digital Services only under the direct supervision of their parent or legal guardian.
Definitions:
"User" refers to any individual who visits, browses, or interacts with the PBWC website.
"Member" refers specifically to an individual who has formally applied for membership, been vetted and accepted by Club Management, and is currently active and in good standing with all applicable dues paid.
"Guest" refers to a non-member who attends a Club event via a ticket purchased or secured by a hosting Member.
You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). You must not transmit any worms or viruses or any code of a destructive nature. A breach or violation of any of the Terms will result in an immediate termination of your Services.
SECTION 2 - MEMBERSHIP ADMISSION & ELIGIBILITY
2.1 Admission Discretion Membership in the Palm Beach Watch Club (PBWC) is a privilege, not a right. Submission of an application or registration, payment of a waitlist fee, or attendance at an open event does not guarantee admission into the Club. PBWC reserves the exclusive right to approve or deny any membership application at its sole discretion, for any reason not prohibited by law.
2.2 Vetting, Sponsorship & Introduction Protocol Admission is selective and subject to Club approval.
Sponsorship: While sponsorship by existing members is preferred and may expedite the vetting process, it is not strictly mandatory at this time.
Introduction Protocol: Please respect the privacy and time of Club Management. Members are prohibited from initiating "blind" introductions via unsolicited group texts or instant messaging platforms between Club Management and prospective applicants.
Proper Channel: All introductions and nominations must be directed through the official application portal or via a formal email introduction to web[at]pbwatchclub[.]com. Putting Club leadership in a direct text thread with an unvetted candidate is a violation of introduction etiquette.
2.3 Truthfulness & Verification You represent and warrant that all information provided during the application process is true, accurate, and complete. Any material misrepresentation—including false claims regarding your collection, profession, or criminal history—will result in the immediate rejection of your application or revocation of your membership without refund.
2.4 Authenticity Standard (Zero Tolerance for Fakes) The Club is dedicated to the appreciation of authentic horology. Knowingly wearing, displaying, or attempting to trade counterfeit, "replica," or "super-clone" timepieces at Club events is strictly prohibited. Members agree that maintaining the integrity of the community is paramount. Attempting to represent a counterfeit timepiece as genuine to another member or guest is considered a material breach of this Code and will result in immediate expulsion and a permanent ban from the Club. The Club reserves the right to deny entry to any member wearing a timepiece reasonably suspected to be inauthentic.
2.5 The Waitlist, Capacity & Curatorial Criteria
Capacity Limits: PBWC adheres to strict capacity limits to maintain compliance with state regulations, venue limitations, and to ensure a high-quality, intimate member experience.
Waitlist Protocol: Qualified applicants may be placed on a Waitlist even if they meet all general eligibility criteria. Admission from the Waitlist is not chronological. The Club does not operate on a "first-come, first-served" basis.
Curatorial Criteria: Invitations to join or move off the Waitlist are issued at the Club's sole discretion. To maintain a dynamic and engaging environment, admission decisions are based on a holistic review of the current "Community Mix," including but not limited to:
Collection Diversity: Balancing the ratio of vintage, modern, independent, and "major maison" collectors to ensure diverse conversation and display.
Professional Balance: Managing the composition of member industries (e.g., finance, creative, legal, medical, entrepreneurship) to foster unique networking opportunities and avoid over-concentration in any single field.
Engagement History: Prioritizing applicants with a demonstrated history of active, positive participation in the watch community or strong sponsorship from existing "Good Standing" members.
Geographic & Event Balance: Ensuring a mix of local residents vs. seasonal members to guarantee consistent event attendance year-round.
No Guarantee: Remaining on the waitlist does not guarantee future admission. The Club reserves the right to close the waitlist or curate admission based on strategic goals at any time.
2.6 Non-Transferability, ID Policy & Anti-Scalping Membership privileges and account credentials are strictly personal and non-transferable. Your membership belongs to you alone.
Membership Transfer: You may not sell, assign, or transfer your Club membership to any third party.
Ticket Transfer: Event tickets purchased or secured by a Member may only be used by that Member and their registered guests. Reselling tickets—especially for profit ("scalping")—is strictly prohibited. If a ticket to an event needs to be transferred, the request must be emailed to web[at]pbwatchclub[.]com. Transference is at our sole discretion.
ID Verification: To enforce this policy, the government-issued ID presented at check-in to an event must match the name on the ticket. If the names do not match and no prior transfer approval was granted, admission will be denied without refund.
2.7 Membership Structure & Evolution (Right to Modify) The Club reserves the right to evolve its membership structure at any time to better serve the community. This includes, but is not limited to:
Creation of Tiers: The introduction of new membership ranks or levels with differing levels of access, event priority, or pricing.
Dues Implementation: The introduction of annual dues, initiation fees, or maintenance fees for future or existing members.
Reclassification: The right to reclassify existing members into new tiers based on participation or tenure. Members acknowledge that membership benefits, pricing, and terms are subject to change. Continued participation in the Club following any such changes constitutes acceptance of the new structure.
2.8 Term, Renewal & Termination
2.8.1 Term & Automatic Renewal Membership is granted on an annual basis (12-month cycle). For Members in "Good Standing," membership shall automatically renew for subsequent 12-month terms unless the Club provides written notice of non-renewal prior to the anniversary date, or the Member provides notice of cancellation in accordance with Club procedures.
2.8.2 Active Participation & Engagement Requirement ("Use it or Lose it") Membership in PBWC is intended for active participants who contribute to the vibrancy of the community.
Engagement Standard: The Club reserves the right to decline renewal for any Member who, during the preceding membership term, has failed to demonstrate adequate engagement with the Club. "Adequate engagement" is determined at the Club's sole discretion but may include: frequency of event attendance, responsiveness to RSVPs and communications, and general interaction with the community.
Non-Renewal for Inactivity: Members who have not attended an event or logged into the member portal for a period of twelve (12) consecutive months may be subject to non-renewal at the end of their term to make space for waitlisted applicants.
No Refund: Non-renewal based on inactivity is considered a standard expiration of the membership term, not a termination for cause. Therefore, no refunds of prior dues will be issued.
2.8.3 Termination at Will Notwithstanding the annual term, PBWC reserves the right to terminate any membership at any time, with or without cause, effective immediately upon written notice.
Right to Non-Renew: The Club further reserves the absolute right to decline renewal for any member who, in the Club's sole judgment, is no longer a suitable fit for the community, regardless of their activity level.
2.8.4 Voluntary Resignation A Member may resign at any time by providing written notice to the Club. Resignation does not entitle the Member to a refund of any previously paid dues, initiation fees, or event tickets.
2.8.5 Refund Policy (Pro-Rated Calculation) In the event of Club-initiated termination (whether for cause or without cause) prior to the end of the membership term, the Member shall be entitled to a pro-rated refund of their Annual Dues.
Calculation Method: The refund will be calculated based on the number of days remaining in the current billing cycle. The "billing cycle" is defined as the 365-day period commencing on the date the Member's credit card was most recently charged for Annual Dues.
Effective Date: The calculation of "days remaining" begins on the date the Club sends written notice of termination to the Member.
Exclusions: Initiation Fees and Waitlist Fees are one-time administrative charges and remain strictly non-refundable under all circumstances.
2.8.6 Survival Upon termination or expiration of membership, all access to Club events and benefits ceases immediately. Sections regarding Indemnification, Intellectual Property, and Privacy shall survive the termination of this agreement.
2.9 Event Access & "Curated" Experiences Membership grants eligibility to apply for or RSVP to Club events, but does not guarantee access to every gathering.
Invitation-Only Events: To maintain intimate experiences and satisfy sponsor requirements, certain events may be designated as "Curated" or "Invitation-Only."
Selection Discretion: The Club reserves the right to hand-select attendees for these events at its sole discretion. Selection criteria may include, but are not limited to: collection relevance (e.g., owning a specific watch brand for a manufacturer dinner), member tenure, past event attendance, or venue capacity limits.
No Right to Attend: Exclusion from a curated event does not constitute a breach of membership privileges or discrimination.
2.10 Guest Policy & Eligibility Members are permitted to bring guests to select events, subject to availability.
Deemed Acceptance by Entry: By purchasing a ticket for a guest or bringing a guest to a PBWC event, the Member warrants that the guest has reviewed and agreed to these Terms of Service, including the Code of Conduct (Section 12), Assumption of Risk (Section 13), and Media Release (Section 15). Any guest who enters a PBWC event is deemed to have expressly agreed to be bound by these Terms. If a guest does not agree, they must not attend the event.
Prohibited Guests: Members are strictly prohibited from bringing as a guest any individual who has been previously expelled, banned, or whose application for membership was denied by the Club. Attempting to bypass a ban by entering as a guest is grounds for the immediate termination of the hosting Member.
Member Responsibility: You are solely responsible for the conduct of your guests. You agree to indemnify the Club for any liabilities or damages caused by your guest as outlined in Section 14.
Accompaniment: Unless otherwise stated, guests must arrive and enter the venue accompanied by the hosting Member.
2.10.1 Minor Guests & Parental Supervision Individuals under the age of 18 may apply for a "Junior Membership" provided that at least one parent or legal guardian is an active Member in Good Standing.
Sole Responsibility: The hosting parent member assumes full and absolute responsibility for the conduct, safety, and supervision of their minor guest at all times. Junior Members must be under the direct and constant supervision of their Member-parent or legal guardian at all times while attending Club-sanctioned events or participating in Club Services.
Alcohol Zero-Tolerance: In accordance with Florida Statute § 562.11 and § 856.015, the consumption of alcohol by any individual under the age of 21 is strictly prohibited. Parents must ensure their minor guests do not possess or consume alcohol; any violation will result in the immediate permanent expulsion of the hosting Member.
Venue Restrictions: Minors may be restricted from certain areas of a venue (such as standing bars) or excluded from 21+ only events at the Club’s sole discretion.
"Drop-offs" Prohibited: The Club does not provide childcare or supervision. The parent Member assumes full and absolute responsibility for the conduct, safety, and digital interactions of the Junior Member.
SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk. This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.
SECTION 4 - MODIFICATIONS TO THE SERVICE AND PRICES Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service. In the event that an event is cancelled due to Acts of God (including but not limited to hurricanes, severe weather, or pandemics), venue closures, or other causes beyond PBWC’s control, the Club reserves the right to issue Club Credit equal to the ticket value in lieu of a cash refund. This credit does not expire and may be used for future events or dues.
SECTION 5 – REFUNDS, CANCELLATIONS & PAYMENT TERMS
5.1 Event Ticket Cancellation Policy (Strict Final Sale) To ensure venue headcount and catering guarantees, all event ticket sales are considered final and non-refundable immediately upon purchase, subject only to the following limited exception:
24-Hour "Cooling-Off" Period: You may cancel a ticket for a full refund (less payment processing fees) within 24 hours of the initial time of purchase, PROVIDED THAT the purchase was made at least 7 calendar days prior to the scheduled event start time.
Late Bookings (Inside 7 Days): If a ticket is purchased within 7 calendar days of an event, the "Cooling-Off" period does not apply. These tickets are 100% non-refundable and final sale immediately upon purchase.
After the Window: Once the 24-hour post-purchase window has expired, no refunds will be issued for any reason, including illness, travel delays, or personal emergencies.
Transfer Option: If you are unable to attend, you may request to transfer your ticket to another Member strictly in accordance with the Transfer Policy outlined in Section 2.6.
5.2 Event-Specific Overrides Certain special events (e.g., galas, destination trips, or fixed-menu private dining) may have alternative cancellation terms listed directly on the invitation or checkout page. In such cases, the specific cancellation policy listed on the event registration page shall supersede the general terms in Section 5.1. By purchasing a ticket, you acknowledge and agree to the specific terms tied to that event.
5.3 Physical Merchandise Returns For physical goods purchased through the Club (e.g., hats, shirts, accessories):
Return Window: Items may be returned within 30 days of delivery.
Condition: Items must be unused, unworn, and in their original packaging with all tags attached.
Exclusions: Custom-ordered items, personalized goods, or "Final Sale" items are not eligible for return.
5.4 Membership Dues & Fees As outlined in Section 2, all Membership Initiation Fees, Annual Dues, and Waitlist Fees are non-refundable upon payment, except where expressly provided under the "Termination Without Cause" clause in Section 2.8.
5.5 Chargeback & Payment Disputes You agree to contact PBWC support (web[at]pbwatchclub[.]com) to resolve any billing disputes within thirty (30) days of the charge appearing on your statement. Failure to notify the Club within this 30-day window constitutes a waiver of your right to dispute the charge. Initiating an unwarranted credit card chargeback or dispute for validly rendered services, membership dues, or non-refundable event tickets is considered a material breach of these Terms and will result in the immediate termination of your membership and a permanent ban from the Club.
SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors or otherwise go against our policies. You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
SECTION 7 - OPTIONAL TOOLS We may provide you with access to third-party tools over which we neither monitor nor have any control nor input. You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s). We may also, in the future, offer new Services and/or features through the website (including, the release of new tools and resources). Such new features and/or Services shall also be subject to these Terms of Service.
SECTION 8 - THIRD-PARTY LINKS Certain content, products and Services available via our Service may include materials from third-parties. Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or Services of third-parties. We are not liable for any harm or damages related to the purchase or use of goods, Services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.
SECTION 9 - USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS If, at our request, you send certain specific submissions (for example contest entries) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments. We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service. You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.
SECTION 10 - PERSONAL INFORMATION Your submission of personal information through the store is governed by our Privacy Policy.
SECTION 11 - ERRORS, INACCURACIES AND OMISSIONS Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.
SECTION 12 – CODE OF CONDUCT & PROHIBITED ACTIVITIES
12.1 General Conduct PBWC is a community built on trust, respect, and a shared passion for horology. By joining or participating in Club events, you agree to abide by the Club’s Code of Conduct. Failure to adhere to these standards—whether online or in person—is grounds for immediate suspension, termination of membership, or removal from the event.
12.2 Non-Solicitation & Commercial Conduct To preserve the relaxed social environment of the Club, aggressive commercial solicitation is strictly prohibited.
Industry Professionals & Insiders: We recognize that access to trusted dealers, brand representatives, and industry insiders is a benefit of membership. We welcome the sharing of expertise and the natural formation of business relationships.
The "Flipper" Exclusion: However, the Club is not a marketplace for short-term speculation. Individuals operating under "watch flipping," "arbitrage," or "get-rich-quick" business models—particularly those utilizing tactics from "watch trading courses"—are not welcome. Treating fellow members solely as sources of inventory or liquidity is grounds for immediate expulsion.
The Distinction: The line is drawn at intent and aggression. Unsolicited pitching, badgering members, or treating the Member Directory as a lead list is strictly prohibited. Organic transactions that arise between friends are permitted; predatory prospecting is not.
12.3 Harassment & Discrimination PBWC enforces a zero-tolerance policy regarding harassment.
Prohibited: Any form of verbal, physical, or sexual harassment, intimidation, or discrimination based on race, gender, sexual orientation, religion, or nationality.
Consequence: Any member found to have harassed staff, venue employees, or fellow members will be immediately expelled and banned permanently. A pro-rated refund of remaining Annual Dues will be issued in accordance with Section 2.8.
12.4 Disparagement & Brand Integrity While we value feedback, Members agree not to publicly disparage the Club, its founders, or its partners in a manner that is malicious, false, or intended to damage the Club's reputation. Constructive criticism should be directed privately to web[at]pbwatchclub[.]com.
12.5 Digital Security & Website Use In addition to physical conduct, you are prohibited from using the Club’s digital platforms to:
(a) Solicit others to perform unlawful acts.
(b) Infringe upon our intellectual property rights.
(c) Upload or transmit viruses, malware, or malicious code.
(d) Collect or track the personal information of others (doxing/scraping).
(e) Use the Member Directory (if applicable) for mass marketing or spam.
12.6 Violation Consequences PBWC reserves the right to terminate or suspend any membership or event access at its sole discretion for violation of this Section. In the event of termination for cause, the Member will receive a pro-rated refund of Annual Dues in accordance with Section 2.8. Purchased event tickets remain non-refundable unless specifically authorized by Club Management.
12.7 Official Representation & Event Planning We value member initiative and connections, but to maintain strategic consistency and limit liability, all official Club business must be conducted through proper channels.
No "Rogue" Representation: Members are strictly prohibited from representing themselves as agents, officers, or authorized negotiators of the Club to third parties (e.g., venues, watch brands, sponsors) without express written Club approval.
Event Proposals: If you have an idea for an event or a relationship you would like to facilitate, you must present it to Club Management first. You may not book venues or solicit sponsors in the Club's name without prior authorization.
Existing Initiatives: Please understand that the Club is often working on complex partnerships behind the scenes. Uncoordinated member outreach can jeopardize these negotiations.
12.8 Attendance & RSVP Etiquette Reliable attendance is vital to the Club’s community and venue relationships.
No-Show Policy: Members who RSVP to an event and fail to attend without providing notice ("No-Show") disrespect the host and fellow members on the waitlist.
Three-Strike Rule: While we understand emergencies happen, a pattern of repeated No-Shows (e.g., 3 or more within a 12-month period) may result in a suspension of event privileges or removal from future guest lists.
Waitlist Integrity: If you are promoted from a Waitlist, you must confirm or decline within the stated window. Failure to respond may be treated as a decline to allow others to attend.
12.9 Conduct Bringing the Club into Disrepute Members represent the PBWC community even when not attending official events. The Club reserves the right to terminate the membership of any individual who is convicted of a felony, involved in public scandal, or engages in conduct (public or private) that, in the Club’s sole discretion, brings the Club into disrepute, damages its reputation, or contradicts the community values of trust and integrity.
12.10 Compliance with Laws & Illegal Activity The Club maintains a strict zero-tolerance policy regarding illegal activity. Any Member found to be engaging in unlawful acts—including but not limited to fraud, money laundering, the trafficking of counterfeit or stolen goods, or possession of illegal substances—whether at Club events or in their personal capacity, is subject to immediate termination of membership. Furthermore, the Club reserves the right to suspend or terminate any Member whose conduct, whether or not resulting in criminal charges or conviction, in Club Management’s sole discretion, brings disrepute to the Club or poses a risk to the safety, security, or reputation of its membership.
12.11 Dress Code & Venue Compliance Members acknowledge that PBWC events take place at third-party venues with varying dress codes (ranging from Casual to Black Tie). The specific dress code for each event will be listed on the invitation or RSVP page. It is the Member’s sole responsibility to adhere to these standards.
Denial of Entry: PBWC is not responsible if a venue denies entry to a Member or their guest due to a failure to meet the venue’s dress code.
No Refund: Denial of entry due to improper attire does not constitute grounds for a refund of ticket costs or membership dues.
General Standard: In the absence of a specific code, the default Club standard is "Smart Casual." Athletic wear, gym shorts, and beach attire are generally prohibited unless the event is specifically designated as a sporting or beach activity.
SECTION 13 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY & ASSUMPTION OF RISK
13.1 General Service Disclaimer We do not guarantee, represent or warrant that your use of our service or website will be uninterrupted, timely, secure or error-free. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind.
13.2 Alcohol Policy, Consumption & Right to Remove PBWC acts solely as a social facilitator and event coordinator.
Service Standards & Host Liability:
Licensed Venues: For events at restaurants or hotels, alcohol is regulated and served exclusively by the venue under their license.
Private & Boutique Hosts: For events hosted at boutiques, private residences, or galleries where the Host provides food or beverage, the Host is solely responsible for all service, quality, and legal compliance. PBWC does not independently inspect, verify, or warrant the licensing status, insurance, or safety standards of third-party hosts or their caterers.
Compliance & Age Verification: Service providers and Hosts reserve the right to verify legal age and refuse service in accordance with Florida law.
Club’s Right to Eject: Independent of the Host’s policies, PBWC Management reserves the absolute right to demand that any Member or guest cease consumption or leave the event immediately if, in Management's sole discretion, they appear intoxicated or their behavior becomes disruptive. Failure to comply is a material breach of the Code of Conduct.
Assumption of Risk: You acknowledge that alcohol may be consumed at Club events. You are solely responsible for your own limits. The Club assumes no liability for the service of alcohol, the quality of beverages, or the conduct of any member or guest under the influence of alcohol.
Transportation: You are solely responsible for arranging safe transportation to and from Club events. PBWC assumes no liability for any accidents, injuries, DUI citations, or legal consequences resulting from your operation of a vehicle after attending a Club event.
13.3 Valuables, Security & Personal Property Due to the nature of the Club, Members often carry high-value timepieces and personal property to events.
No Security Guarantee: While PBWC may occasionally arrange for venue security, the Club does not guarantee the safety or security of your person or property.
Assumption of Risk: You expressly acknowledge that bringing high-value items to a public or semi-private venue carries inherent risks of theft, loss, or damage. You assume full responsibility for your property.
Insurance: It is the sole responsibility of the Member to maintain adequate personal insurance (e.g., Jewelry/Watch Insurance) for their collection. PBWC is not liable for lost, stolen, damaged, or scratched timepieces or property under any circumstances.
13.4 Limitation of Liability To the fullest extent permitted by applicable law, in no case shall PBWC, its directors, officers, employees, affiliates, agents, contractors, volunteers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, special, or consequential damages of any kind, including, without limitation, lost profits or replacement costs, whether based in contract, tort (including ordinary negligence), strict liability, or otherwise, arising from your use of the service or participation in any Club event, excluding gross negligence or willful misconduct.
Maximum Liability: In jurisdictions where complete exclusion of liability is not permitted, PBWC’s total liability shall be limited to the maximum extent permitted by law. In no event shall PBWC’s total liability to you for all damages, losses, and causes of action exceed the greater of: (A) the total amount of membership dues, event tickets, and fees paid by you to PBWC during the twelve (12) month period immediately preceding the claim; or (B) One Hundred U.S. Dollars ($100.00).
13.5 Force Majeure PBWC shall not be held liable for any failure to perform its obligations (including the cancellation or postponement of events) where such failure results from any cause beyond PBWC’s reasonable control, including, without limitation, acts of God, hurricanes, severe weather, pandemics, government orders, venue closures, or civil unrest.
13.6 Assumption of General Risk Members acknowledge that attendance at in-person events involves inherent risks including, but not limited to, slips, falls, crowd movement, property damage, illness, and interactions with third parties. By attending, you voluntarily assume all such risks and agree that PBWC shall not be liable for any resulting injuries or damages.
SECTION 14 – INDEMNIFICATION & THIRD-PARTY LIABILITY You agree to indemnify, defend, and hold harmless Palm Beach Watch Club (PBWC) and its parent entities, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Service, including, but not limited to, your User Contributions, any use of the Club’s content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Website.
You agree to indemnify, defend, and hold harmless the Indemnified Parties against any and all claims, lawsuits, demands, or damages brought by or against your Guest, regardless of whether said Guest signed a separate waiver. This indemnification obligation includes, without limitation:
Injury to the Guest: If your Guest is injured at an event and sues PBWC, you agree to defend PBWC and pay all resulting legal fees and damages.
Damage Caused by the Guest: If your Guest causes property damage (e.g., to the venue) or injury to a third party, you assume full financial responsibility for their actions.
You agree to cooperate as fully as reasonably required in the defense of any claim. PBWC reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not in any event settle any matter without the written consent of PBWC.
14.1 Parental Indemnity: Member agrees to indemnify and hold harmless PBWC from any and all claims, damages, or lawsuits brought by or on behalf of a minor guest. This includes, but is not limited to, claims for personal injury or property damage sustained by the minor while attending a Club event, even if caused by the ordinary negligence of the Club or its partners.
14.2 Junior Member Financial Guarantee: By facilitating a Junior Membership, the Member-parent assumes full financial responsibility for all dues, fees, and charges incurred by the Junior Member. The parent acknowledges that they are the primary contracting party for all financial obligations related to the Junior Membership.
SECTION 15 – MEDIA RIGHTS, INTELLECTUAL PROPERTY & PRIVACY
15.1 Consent to Photography & Recording By attending any PBWC event, you acknowledge that the event may be photographed, filmed, or recorded by the Club or its authorized agents. You grant PBWC an irrevocable, non-exclusive, royalty-free, worldwide license to use, reproduce, display, and distribute your image, likeness, voice, and appearance in any and all media (now known or later developed) for promotional, marketing, and internal purposes.
15.2 Ownership of Media All photography, videography, and audio recordings created by PBWC staff or hired contractors during Club events are the exclusive intellectual property of the Palm Beach Watch Club. Members have no ownership rights or copyright interest in these materials.
15.3 Asset Privacy (Watches & Collections) The Club understands the discretion required in the watch community.
Serial Numbers: PBWC will make reasonable efforts to obscure or edit out visible serial numbers on timepieces featured in close-up promotional shots if asked.
Collection Anonymity: If a Member requests that their specific collection not be associated with their name in public marketing, the Club will honor this request to the best of its ability, provided the request is made in writing prior to publication.
15.4 User-Generated Content (Social Media) If you post content regarding PBWC on social media and tag the Club (@PalmBeachWatchClub), use Club-specific hashtags, or check-in to a Club event, you grant PBWC permission to repost, share, or feature that content on our official channels with credit to you.
15.5 Opt-Out Policy (Best Efforts Basis) We respect your privacy and will attempt to honor requests to avoid photography. However, due to the open and social nature of our events:
No Guarantee: We will try to the best of our ability to honor opt-out requests, but it is not guaranteed. Members acknowledge that completely avoiding capture in a crowded environment is not always possible.
Incidental Capture: Appearance in the background of wide shots, group photos, or video pans is considered incidental and is not grounds for legal action or compensation.
Retroactive Removal: If a photo of you appears on our website or social media that you wish to have removed, please email web[at]pbwatchclub[.]com. We will make reasonable commercial efforts to remove the specific image from our owned platforms, but we cannot guarantee the removal of content that has already been shared, reposted, or saved by third parties.
15.6 Strict "No-Photography" Zones & Embargoed Events Certain Club events or specific areas within an event may be designated as "Media-Free" or "No-Photography" zones to protect the privacy of hosts, unreleased timepieces, or high-security collections.
Zero Tolerance: If an event is announced as "No Photo / No Video," any member or guest observed taking photographs, recording video, or using capture devices will be asked to delete the media immediately and may be removed from the event.
Confidentiality: Distributing images of embargoed timepieces or private collections on social media in violation of this policy is a material breach of the Code of Conduct and grounds for immediate termination of membership.
Device Policy: At highly sensitive events, the Club reserves the right to require members to check their mobile devices at the door or place them in sealed security pouches for the duration of the experience.
15.7 Third-Party & Member Photography (Non-Liability) While the Club encourages discretion, PBWC cannot control the independent use of personal recording devices by other members, guests, or venue patrons. You acknowledge and agree that PBWC is not responsible or liable for any photographs, videos, or social media posts captured or shared by other attendees. Any disputes regarding the unauthorized posting of your image or collection by another individual must be resolved directly between you and that individual; PBWC will not mediate such disputes nor be held liable for third-party content.
Section 16: Governing Law & Dispute Resolution
16.1 Governing Law This agreement and any dispute arising out of or related to it shall be governed exclusively by the laws of the State of Florida, without regard to its conflict-of-law principles.
16.2 Mandatory Binding Arbitration Any controversy, claim, or dispute arising out of or relating to these Terms of Service, your membership, or your participation in Club events—including the determination of the scope or applicability of this agreement to arbitrate—shall be determined by binding arbitration in Palm Beach County, Florida.
Rules: The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
Finality: The decision of the arbitrator shall be final and binding. Judgment on the award may be entered in any court having jurisdiction.
Confidentiality: The parties agree that the arbitration proceedings, testimony, discovery, and the final award shall be kept strictly confidential and shall not be disclosed to any third party (except as required by law or to enforce the award) to protect the privacy of the Club and its Members.
16.3 Waiver of Class Action & Jury Trial You and PBWC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. Furthermore, you and PBWC knowingly and voluntarily waive the right to a trial by jury in any legal proceeding arising out of or relating to this Agreement.
16.4 Limitation on Time to File Claims To the fullest extent permitted by applicable law, any cause of action or claim you may have arising out of or relating to these Terms must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.
SECTION 17 - BINDING EFFECTS & ACKNOWLEDGEMENTS This agreement becomes binding upon all Members immediately upon acceptance into the Club, participation in any PBWC chat or forum, or attendance at any PBWC event in person or online. By accepting membership, the Member affirms their agreement to these terms and conditions and acknowledges their obligation to comply with all provisions of the Palm Beach Watch Club. Any individual who accesses the Palm Beach Watch Club website, participates in Club discussions, attends events, or otherwise interacts with the Club without formal membership hereby acknowledges and agrees that such engagement constitutes acceptance of these Terms. Non-members expressly consent to be bound by all applicable rules, policies, and obligations set forth by the Palm Beach Watch Club. Members are solely and fully responsible for the behavior, actions, and compliance of any guests they bring to Club events, and shall be liable for any violations of these Terms committed by their guests.
SECTION 18 – SEVERABILITY In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions. In the event of any ambiguity or interpretive uncertainty within these Terms, PBWC shall have the exclusive right to clarify and determine the intended meaning, and such determination shall be final and binding to the fullest extent permitted by applicable law.
SECTION 19 – GENERAL PROVISIONS
19.1 Relationship of the Parties Membership in PBWC does not create any agency, partnership, joint venture, employer-employee, or franchiser-franchisee relationship between you and the Club. You have no authority to bind the Club to any contract, debt, or obligation.
19.2 Entire Agreement These Terms of Service constitute the entire agreement between you and PBWC, superseding any prior agreements or communications.
